1. Acceptance of terms
These Terms & Conditions ("Terms") form a binding agreement between you and SamayBook ("SamayBook", "we", "us", or "our") governing your use of our website, web application, and hosted booking pages (the "Services"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 16 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Services. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
3. Accounts and security
To use most features you must create an account. You agree to provide accurate information, keep it up to date, and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorised use.
4. Acceptable use
You agree not to:
- Use the Services for any unlawful, harmful, deceptive, or fraudulent purpose.
- Send spam, unsolicited messages, or content that is abusive, defamatory, or infringing.
- Attempt to gain unauthorised access to the Services, other accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, scrape, or resell the Services except as expressly permitted.
5. Bookings and guests
Hosts are solely responsible for the meetings they offer, the accuracy of their availability, and for honouring or rescheduling confirmed bookings. Guests are responsible for the accuracy of the information they submit. SamayBook is a facilitator and is not a party to any agreement between a host and a guest.
6. Plans, billing, and payments
We offer free and paid plans. Paid subscriptions are billed in advance on a recurring basis and renew automatically unless cancelled before the renewal date. Fees are non-refundable except where required by law. If you enable paid bookings, payments are processed by third-party payment providers, and you are responsible for any applicable taxes. We may change pricing with reasonable notice.
7. Third-party services
The Services may integrate with third-party providers such as Google, Zoom, and payment processors. Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party services and do not guarantee their availability.
8. Intellectual property
The Services, including all software, design, text, and trademarks, are owned by SamayBook or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services in accordance with these Terms. No other rights are granted.
9. Your content
You retain ownership of the content you submit (such as meeting descriptions, notes, and branding). You grant us a worldwide, non-exclusive licence to host, store, and display that content solely to operate and provide the Services. You are responsible for ensuring you have the rights to the content you upload.
10. Service availability
We work to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time, and may perform maintenance that temporarily limits availability.
11. Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ends, and we may delete your data in accordance with our Privacy Policy.
12. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet your requirements or be secure, timely, or error-free.
13. Limitation of liability
To the maximum extent permitted by law, SamayBook and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Services will not exceed the greater of the amounts you paid us in the twelve months before the claim or USD 100.
14. Indemnification
You agree to indemnify and hold harmless SamayBook and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your breach of these Terms.
15. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which SamayBook is established, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located there, unless applicable law provides otherwise. Update this section to specify your governing jurisdiction.
16. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, notify you. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
